Real estate investment trust giant RL Commercial REIT Inc. (RCR) secured clearance from the Securities and Exchange Commission to proceed with an asset injection from owner Robinsons Land Corp., involving 13 properties worth P33.9 billion.<\/p>\n\n\n\n

In a stock exchange filing on Thursday, RCR said it received the regulator\u2019s approval of the valuation. This was also supported by an appraisal report from Asian Appraisal Co. Inc. and a third-party fairness opinion issued by FTI Consulting Philippines Inc.
RCR will pay for the assets by issuing 4.98 billion shares to Robinsons Land.<\/p>\n\n\n\n

The asset infusion involves Robinsons Luisita, Robinsons Sta. Rosa, Giga Tower, Cybergate Davao, Robinsons Imus, Robinsons Los Ba\u00f1os, Robinsons Lipa, Robinsons Cabanatuan, Cybergate Delta 2, Robinsons Palawan, Robinsons Novaliches, Robinsons Cainta, and Robinsons Ormoc.<\/p>\n\n\n\n

Public ownership compliance<\/strong><\/p>\n\n\n\n

Once issued, RCR\u2019s total outstanding shares will rise to 15.71 billion, with public ownership at 34.10 percent\u2014well above the required one-third minimum under the rules.<\/p>\n\n\n\n

RCR will file necessary disclosures once the new shares are issued and registered under Robinsons Land.<\/p>\n\n\n\n
