Ayala Corporation (AC) and its wholly-owned subsidiary, Philwater Holdings Company, Inc. (Philwater), have agreed to sell a total of 288,998,734 common shares and 436,243,932 participating preferred shares to Manila Water Company, Inc. (MWC) in a buyback transaction. <\/p>\n\n\n\n
The gross consideration for this transaction is approximately P5.7 billion. Following this buyback, Ayala Corporation (AC) will retain a 23.5% voting stake and a 22.5% economic stake in MWC. The common shares were transacted at a price of P17.1647 per share, amounting to a total consideration of P4,960,576,569.49. Meanwhile, the participating preferred shares from Philwater Holdings Company, Inc. were transacted at a price of P1.7165 per share, resulting in a total consideration of P748,812,709.28.<\/p>\n\n\n\n
