Mitsui & Co. Ltd. will be conducting a tender offer for publicly-held MPI shares at an offer price of P4.63 per share, through a joint venture holding company with Japan Overseas Infrastructure Investment Corp. for Transport & Urban Development (JOIN). The consortium is yet to disclose the timeline of the tender offer, but the indicated start of the offer is \u201clate May 2023\u201d with an ending date in \u201clate June 2023\u201d. <\/p>\n\n\n\n

Analysis and Recommendation<\/h2>\n\n\n\n

Our View: <\/strong>Given the offer\u2019s 8.7% premium to the last closing price of P4.26 per share, and the high likelihood of the consortium succeeding in securing enough shares to cause the public float of MPI to fall below the minimum public float requirement, we advise clients to accept the offer and tender their shares. MPI is on trading suspension until 9:00 AM tomorrow (April 28).<\/p>\n\n\n\n
